Sunrise RSVP, Inc. is a Delaware corporation located at 1111B S Governors Ave, Ste 21393, Dover, Delaware 19904, United States.

These Unified Terms of Service (the “Terms”) form a legally binding agreement between you and Sunrise RSVP, Inc. (d/b/a “Communiful,” “we,” “our,” or “us”), and not with Apple, Google, or any other third-party beneficiary. They govern your access to and use of the Communiful Platform - our websites, mobile/desktop applications (the “Apps”), application‑programming‑interface (“API”) integrations, and all related features, services, content, and software (collectively, the “Services”).

By accessing or using any portion of the Services, you (a) confirm that you are legally able to enter these Terms and (b) agree to be bound by this document, our Privacy Policy, Events Policy, and all supplemental policies referenced herein (together, the “Agreement”). You must also agree to comply with all applicable third-party terms.

If you do not accept, do not access or use the Services.
1. Eligibility & Accounts
1. Minimum Age. You must be at least 13 years old (or the minimum age required in your country) to use the Services. Users under 18 may do so only with the involvement and consent of a parent or legal guardian.

2. Authority. If you use the Services on behalf of an organization, you represent that you have authority to bind that entity.

3. Account Security. You will provide accurate registration info, safeguard your credentials, and promptly notify us of any unauthorized use. You are responsible for activity under your account.

4. No Circumvention. You will not create alternate or replacement accounts to avoid suspension or other enforcement.

5. Not for Emergency or Regulated Use. The Services are not designed or intended (i) for contacting emergency responders, life‑critical or time‑critical situations, or (ii) to comply with industry‑specific regulations such as HIPAA, FISMA, or GLBA. Do not rely on Communiful for emergency services or the transmission of protected‑health information.
2. License Grant & App Distribution
1. Limited License. We grant you a personal, revocable, non‑exclusive, non‑transferable, non‑sublicensable license to install the Apps and use the Services strictly as permitted by this Agreement and applicable store Usage Rules (e.g., Apple’s App Store Usage Rules and Google Play Terms). You may maintain reasonable backup copies on devices you own or control.

2. App‑Store Beneficiaries. Apple Inc. and Google LLC (and their affiliates) are third‑party beneficiaries of these Terms and may enforce them against you. Apple/Google bear no warranty or support obligations for the Apps.

3. Updates & Changes. This license applies to all updates unless accompanied by a separate license. Continued use after an update constitutes acceptance of the modified license.

4. Maintenance & Support. Communiful—not Apple, Google, or any other app‑store operator—is solely responsible for providing maintenance and support for the Apps. App‑store operators have no obligation to furnish maintenance, support, or warranty services.

5. Product Claims. Communiful, not Apple/Google, is responsible for addressing any product‑liability claims, consumer‑protection claims, or regulatory‑compliance claims related to the Apps.
3. Platform Ownership & Intellectual Property
1. Our IP. All software, design, trademarks, and content we provide (“Communiful Content”) are owned by or licensed to us. Except for the limited license above, no rights are granted to you.

2. IP Notices. You may not remove any intellectual property notices.

3. No Reverse Engineering. You may not copy, adapt, translate, reverse engineer, decompile, or create derivative works from the Services except as permitted by law or with prior written consent.

4. Third-Party Use. You may not share or make the Services available to third-parties (unless to the degree allowed by the Usage Rules, and with Sunrise RSVP, Inc's prior written consent), sell, rent, lend, lease or otherwise redistribute the Services. In the case of sale or transfer of a device to a third party, you must remove any downloaded Apps from the device before doing so, and clear all data, including any active sessions in browsers.

5. Username Re‑Assignment & Memorialization.
  • We may reclaim or re‑assign usernames that are inactive, infringing, or violate these Terms.
  • Upon verified request, we may memorialize or close the account of a deceased user to preserve their legacy.

6. Enforcement. Violations of the obligations mentioned above, as well as the attempt of such infringement, may be subject to prosecution and damages.
4. User Content, Conduct & Feedback
1. User Content. “User Content” means any text, images, video, audio, event listings, messages, feedback, or other material you submit.

2. Content & Conduct Standards. Prohibited content or activity includes, without limitation:
  • Harassment, hate, threats
  • Pornography involving minors; non‑consensual intimate imagery
  • Violence, terrorism, illegal activity
  • Intellectual‑property infringement
  • Impersonation or misrepresentation
  • Unsolicited promotions or spam
  • Scraping or harvesting personal data
  • Malware, security circumvention
  • Unauthorized bots or automation
  • Activities that overload or disrupt the Services
  • Collection of payment‑card, health, or other sensitive data outside our authorized checkout flow
  • Intentionally false, misleading, or deceptive content
  • Collect, use, or share personal data of others without their consent or in violation of applicable law

3. License to Communiful. You grant us a world‑wide, royalty‑free, transferable, sub‑licensable license to use your User Content for operating, promoting, and improving the Services. This license ends when you delete the User Content, except where necessary (i) to comply with legal obligations, (ii) for legitimate business purposes in accordance with our Privacy Policy, or (iii) where content has been shared or copied by others.

4. Feedback. If you send ideas or suggestions, you grant us a perpetual, irrevocable, royalty‑free license to use them for any purpose without attribution or compensation.

5. Moderation & Final Decisions. We may remove or restrict content or accounts that violate these Terms. Our moderation and payout decisions are final and binding to the fullest extent permitted by law. Automated systems, including AI, may assist with moderation, however significant enforcement actions are subject to human review.

6. Safety Tools. Block and report features are available in the Services. Reports trigger review by our Trust & Safety team.

7. Contests & Promotions. If you run a contest, sweepstakes, or giveaway on the Services, you must (i) comply with all applicable laws, and (ii) provide official rules that include a complete release of Communiful.

8. Appeals. You may appeal content or account actions within 14 days of notice; we aim to review promptly but are not obligated to reinstate.
5. Events, Organizers & Attendees
1. All Events, Organizers and Attendees must comply with this Agreement and the associated Events Policy, which is incorporated by reference.

2. Platform Role. Communiful facilitates discovery, ticketing, and hosting of events but does not sponsor, supervise, or control user‑organized (“Organizers”) events.

3. Assumption of Risk. Attendance involves inherent risks. By participating, you voluntarily assume all risks and agree Communiful is not liable for resulting harm.

4. Refunds.
  • Communiful‑hosted events - Refunds are available for cancellations made at least 24 hours before the event start time unless stated otherwise; none for later cancellations/no‑shows.
  • Third‑party events - Organizer’s policy governs; if none, sales are final. We may force refunds to protect buyers or comply with law.
Fraudulent chargebacks may result in account suspension.

5. Organizer Responsibilities. Organizers must follow all obligations listed in the Events Policy, including publishing a visible refund policy, complying with content restrictions, maintaining required licenses and insurance, and protecting attendee data.

6. Reporting. To report an event for violations of the Events Policy - including unsafe content, prohibited services, or data misuse - email support@joincommuniful.com with event details. Reports must be submitted within 14 days of the event’s scheduled end date.
6. Payments, Digital Goods & Fees
1. Processing & Limited Payments Agent. Where Communiful (or its payment partner) collects payments, we act solely as Organizer’s limited payments agent for the purpose of accepting funds. Title to funds passes to the Organizer upon buyer payment, subject to reserves and charge‑backs.

2. Payout Holds & Reserves. We may place reserves, withhold payouts, delay transfers, or offset refunds, charge‑backs, or penalties against Organizer balances to manage risk.

3. Verification Requirements. Organizers agree to provide tax IDs, government ID, banking info, and any additional data we or our payment partners reasonably request. Failure may result in payout hold or suspension.

4. Taxes. Organizer is responsible for all taxes. You authorize Communiful to withhold, collect, or remit taxes on your behalf where required by law.

5. Service Fees. Fees disclosed at checkout are non‑refundable except as provided in §5.3.

6. Digital Goods & Virtual Currency. Digital items or virtual currency have no cash value, are licensed (not sold), and are non‑transferable. No refunds once delivered, unless required by law. Digital items may be revoked upon account termination.
7. Third‑Party Services & Integrations
1. Links or integrations with third‑party sites, apps, or content (“Third‑Party Services”) are provided for convenience. We do not control or endorse Third‑Party Services and are not liable for their content or conduct.
8. Privacy, Data & Technical Diagnostics
1. Data Practices. See our Privacy Policy for how we collect, use, and share data, including periodic technical‑diagnostic collection.

2. We do not knowingly collect personal information from children under 13. If you believe a child has provided us with personal data please contact us immediately.

3. User Communications. You agree to use messaging and connection features respectfully and lawfully. We may monitor or restrict communications to enforce these Terms and protect users.

4. SMS & Push Notifications. By supplying a phone number or enabling push notifications, you consent to receive transactional messages; message and data rates may apply. Opt out at any time.
9. Service Availability, Security & Changes
1. No Guarantee. Services are provided “as is” and “as available.” We may modify, suspend, or discontinue any part of the Services at any time.

2. Security Measures. We use commercially reasonable safeguards but cannot guarantee absolute security.

3. Algorithms & Ranking. Feeds and recommendations are personalized via automated systems that might include Artificial Intelligence.

4. Accessibility. We strive to meet WCAG 2.1 AA standards and welcome feedback via support channels.
10. Disclaimer of Warranties
1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMMUNIFUL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED - including MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND ACCURACY OF DATA. Apple/Google’s sole warranty obligation is limited to refunding the purchase price of the App if applicable.
11. Limitation of Liability
1. Indirect Damages Excluded. NEITHER COMMUNIFUL NOR ITS AFFILIATES WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

2. Liability Cap. Total liability will not exceed the greater of (a) US $100 or (b) amounts you paid us in the 12 months before the claim.

3. Exceptions. Nothing excludes liability for gross negligence, willful misconduct, death, or personal injury caused by our negligence where such limitation is prohibited by law.

4. Force Majeure. We are not liable for delays or failures caused by circumstances beyond our reasonable control.
12. Indemnification
1. You will defend, indemnify, and hold harmless Communiful and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, losses, and expenses (including attorneys’ fees) arising from or related to (a) your use of the Services, (b) your User Content, (c) your violation of this Agreement or law, or (d) your infringement of any third‑party rights.
13. Export Compliance & Sanctions
1. You confirm you are not subject to U.S. sanctions and will comply with export‑control laws.
14. DMCA & Intellectual‑Property Claims
1. Notice. Send copyright or trademark notices to dmca@joincommuniful.com.

2. Counter‑Notice. If your content was removed in error, follow 17 U.S.C. §512(g).

3. Repeat Infringers. Accounts with repeat violations may be terminated.
15. Termination
1. By Communiful. We may suspend or terminate access for violations or legal requirements.

2. By You. Delete your account and Apps to terminate.

3. Survival. Provisions that by nature survive termination (including §§3–6, 7–15, 16.3, 17–22) remain in effect.
16. Governing Law
1. This Agreement is governed by Delaware law. If any provision of this Agreement conflicts with applicable consumer laws in your jurisdiction, those laws will prevail to the extent of the conflict.
17. Dispute Resolution & Arbitration
1. Mandatory Arbitration. Disputes are resolved by binding individual arbitration (AAA Consumer Rules) seated in Delaware.

2. Class‑Action & Jury‑Trial Waiver. You waive class actions and the right to a jury trial.

3. Opt‑Out. Email support@joincommuniful.com within 30 days to opt out of arbitration.

4. Small‑Claims Exception. Eligible individual claims may be filed in small‑claims court.

5. Severability. If the class‑action waiver is unenforceable, the arbitration clause is void and disputes go to Delaware courts.
18. Modifications to Terms
1. We may amend these Terms with 14 days’ notice. Continued use constitutes acceptance.
19. Assignment
1. We may assign this Agreement at any time. You may not assign without consent.
20. Miscellaneous
1. Entire Agreement. These Terms, Privacy Policy, and referenced guidelines constitute the entire agreement, and supersede all prior agreements.

2. Severability. If a provision is unenforceable, the remainder remains in effect.

3. No Waiver. Failure to enforce a provision is not a waiver.

4. Headings. Headings are for convenience only.
